In consideration of Riverside Technologies Int (RTI) providing the Product Samples herein requested, and in view of the Company's recognition that RTI has developed and/or has rights to numerous, unique, original innovative promotional concepts/inventions and vehicles for enhancing the sales of consumer products and has sought, is presently seeking and/or has obtained patent protection for some of these inventions and Whereas the Company or Individual (hereby known as Company) hereby agrees that it will hold such information confidential and will not make, have made, sell or manufacture any RTI Product listed below in Exhibit “A” , except with the written approval from RTI.

EXHIBIT A: “TALKING PRODUCTS” for any product, wet, dry or moist that awards an audio prize. “TALKING CANS” also knows as “Singing Cans”, “Melody Cans / Caps” and “Audio Cans” that awards an audio prize. “Mobile Phone Can, Box” - A Phone in a Can or Box that allows the consumer to have a two way conversation with a live operator or sponsor - "TALKING BOTTLE CAPS” also known as “Singing Caps”, “Melody Caps”, and “Audio Caps” that awards an audio prize. “CASH / PRIZE N CAN / BOTTLES” cash or prize inside a wet product. “Cash Caps” for cash / prizes inside bottle caps. “Cash / Prize or Singing Candy Bars” that replicate e.g. candy bars with hidden CASH or AUDIO / FLASHING prize inside. "Shivering / Vibrating Cans / Dancing" - “FLASHING CAN / CAPS” for any product, Wet, Dry or Moist using light to designate a prize award in a consumer product. All concepts / ideas submitted by RTI will be kept strictly confidential and cannot be used by the Company for monetary gain or compensation without the mutual written consent of RTI. If the information disclosed is used directly or indirectly in competition with RTI or by any third party obtaining such information from the company, the company hereby agrees to pay RTI for lost profits, any financial damages, legal fees, court costs, travel expenses which may occur as a result of the enforcement of this Agreement.
